Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (the “User” or “Customer”) and Timlead SAS (“Timlead”, “we”, “our”, or “us”) governing your access to and use of the Timlead platform, website, and all associated services (collectively, the “Services”).

By creating an account, requesting a demo, or otherwise accessing our Services, you confirm that you have the authority to accept these Terms on behalf of yourself or the organization you represent.

Timlead is an all-in-one SaaS platform for field operations management. Our Services include, but are not limited to:

• Digital Forms (E-Forms) — dynamic mobile forms for field data collection.
• Ticketing and workflow management — incident tracking, intervention management, and SLA monitoring.
• GIS and mapping — interactive geographic visualization of assets, teams, and operations.
• Planning and dispatch — intelligent scheduling and resource assignment.
• Billing and contracts — automated invoicing, quoting, and contract tracking.
• Chat and collaboration — real-time messaging between managers, technicians, and subcontractors.
• SharePoint/Media management — document and media storage integrated with Microsoft 365.
• Business intelligence dashboards — real-time KPI monitoring and operational reporting.

Timlead is offered under vertical sub-brands including Timlead Energy, Timlead IRVE, Timlead Telecom, Timlead Billing, and Timlead E-Forms, all governed by these Terms.

To access the platform, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the confidentiality of your login credentials and immediately notify us of any unauthorized access.
• Be at least 18 years of age or have the legal capacity to enter into binding contracts in your jurisdiction.
• Not create accounts on behalf of others without authorization.

You are responsible for all activity that occurs under your account. Timlead is not liable for any loss resulting from unauthorized use of your account.

Access to Timlead’s full feature set requires a paid subscription. By subscribing, you agree to the following:

• Fees are billed in advance on a monthly or annual basis, depending on the plan selected.
• All fees are non-refundable unless otherwise required by applicable law or expressly stated in a separate agreement.
• Timlead reserves the right to change pricing with at least 30 days’ prior notice. Continued use after the notice period constitutes acceptance of the new pricing.
• Failure to pay may result in suspension or termination of your account.
• Enterprise or custom plans may be governed by a separate written agreement, which will take precedence over these Terms in the event of conflict.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to store, transmit, or process any illegal, fraudulent, or harmful content.
• Attempt to gain unauthorized access to any part of the platform, other users’ accounts, or Timlead’s infrastructure.
• Reverse-engineer, decompile, or disassemble any portion of the platform.
• Use automated tools (bots, scrapers, crawlers) to access or extract data from the platform without prior written consent.
• Use the Services to infringe the intellectual property rights of any third party.
• Introduce malware, viruses, or any other malicious code into the platform.
• Resell or sublicense the Services without Timlead’s explicit written authorization.
• Use the platform in any way that disrupts, damages, or overburdens our infrastructure.

Timlead reserves the right to suspend or terminate accounts that violate these usage rules, with or without prior notice.

All intellectual property rights in the Timlead platform — including the software, code, interfaces, logos, trademarks, documentation, and proprietary methodologies — are and shall remain the exclusive property of Timlead or its licensors.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the subscription term. Nothing in these Terms transfers any ownership rights to you.

You may not copy, reproduce, distribute, or create derivative works from Timlead’s platform or content without express written permission.

You retain full ownership of all data, content, and information that you upload, input, or generate through the platform (“User Content”). By using the Services, you grant Timlead a limited, non-exclusive license to host, process, and transmit your User Content solely for the purpose of providing the Services to you.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. Timlead does not review, endorse, or take responsibility for User Content.

You represent and warrant that your User Content does not infringe the rights of any third party and that you have all necessary rights to upload and use it on the platform.

Timlead integrates with third-party services including Microsoft 365, SharePoint, ERP systems, and CRM platforms. These integrations are provided for your convenience. Your use of any third-party service is governed solely by that third party’s terms and conditions. Timlead makes no representations or warranties regarding third-party services and is not responsible for any issues arising from their use.

Timlead strives to maintain high platform availability but does not guarantee uninterrupted access. Scheduled maintenance, updates, and events beyond our control (including force majeure events) may cause temporary interruptions.

We reserve the right to modify, update, or discontinue any feature or module of the Services at any time. We will provide reasonable advance notice for significant changes that materially affect your use of the platform.

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by applicable law, Timlead shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services — even if Timlead has been advised of the possibility of such damages.

Timlead’s total cumulative liability arising out of or related to these Terms shall not exceed the total fees paid by you to Timlead in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Timlead, its officers, directors, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Services in violation of these Terms; (b) your User Content; or (c) your violation of any applicable law or third-party rights.

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings or by contacting us. Timlead may suspend or terminate your account immediately if you breach these Terms or for any other reason with reasonable notice.

Upon termination, your right to access the Services ceases immediately. Timlead will retain your data for up to 30 days after termination to allow for data export, after which it may be deleted in accordance with our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of France. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, France, unless a specific agreement between the parties provides otherwise.

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of at least 30 days.

Timlead reserves the right to update or modify these Terms at any time. We will notify users of material changes via email or a prominent notice on the platform at least 15 days before the changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes.
